Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Gjm Freightways Inc, operating as GJM Transit. By accessing our website or using our services, you agree to be bound by these terms.

Services Description

GJM Transit provides professional computer integrated systems design, technical consulting, systems architecture, software development, managed IT services, and related professional, scientific, and technical services. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable laws or regulations

Intellectual Property Rights

All content, materials, software, and intellectual property provided by GJM Transit remain our exclusive property or that of our licensors. This includes but is not limited to:

• Website design, text, graphics, and logos
• Software code and applications developed by us
• Documentation, methodologies, and processes
• Trademarks, service marks, and trade names

You may not reproduce, distribute, modify, or create derivative works without our express written permission. Custom work created specifically for clients under contract will be governed by the terms of the applicable service agreement.

Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for service delivery
• Cooperate with our team and provide timely feedback
• Maintain the confidentiality of any access credentials provided
• Ensure you have necessary rights and permissions for any materials you provide
• Make timely payments according to agreed terms
• Comply with all applicable laws and regulations in your use of our services

Payment Terms

Payment terms will be specified in individual service agreements. Generally:

• Fees are due according to the payment schedule outlined in your agreement
• Late payments may incur interest charges and service suspension
• All fees are in Canadian dollars unless otherwise specified
• Refunds, if applicable, will be handled according to the specific service agreement
• You are responsible for all taxes associated with the services

Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of our business relationship. This includes:

• Business strategies, plans, and financial information
• Technical specifications, designs, and system architectures
• Customer data and personal information
• Trade secrets and proprietary methodologies

Confidential information shall not be disclosed to third parties without prior written consent, except as required by law or to fulfill service obligations.

Warranties and Disclaimers

We strive to provide high-quality services, but certain limitations apply:

• Services are provided on an as-is and as-available basis
• We do not warrant that services will be uninterrupted or error-free
• We make no guarantees regarding specific results or outcomes
• Third-party software or services are subject to their own terms and warranties

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the fullest extent permitted by applicable law:

• GJM Transit shall not be liable for indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
• We are not liable for losses resulting from circumstances beyond our reasonable control
• Time limitations for bringing claims may apply as specified by law

Indemnification

You agree to indemnify and hold harmless GJM Transit, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from:

• Your use of our services
• Your violation of these Terms
• Your violation of any rights of another party
• Any content or materials you provide to us

Term and Termination

These Terms remain in effect while you use our services. Either party may terminate the relationship:

• According to the terms specified in individual service agreements
• Immediately for material breach of these Terms
• With appropriate notice as specified in service agreements

Upon termination, you must cease using our services and return or destroy any confidential materials. Provisions regarding confidentiality, intellectual property, and liability shall survive termination.

Service Level Agreements

For managed services and ongoing support contracts, specific service level agreements (SLAs) will be documented separately, including:

• Response time commitments
• Uptime guarantees
• Support availability
• Performance metrics

Data Protection and Privacy

Our handling of personal information is governed by our Privacy Policy. By using our services, you acknowledge that you have read and understood our Privacy Policy. We comply with applicable data protection laws including PIPEDA and other relevant privacy legislation.

Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or direct notification. Your continued use of our services after changes take effect constitutes acceptance of the modified Terms.

Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved through:

• Good faith negotiations between the parties
• Mediation, if negotiations are unsuccessful
• Binding arbitration or litigation in the courts of Ontario, Canada

Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including natural disasters, acts of government, labor disputes, or other force majeure events.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and GJM Transit regarding the use of our services, superseding any prior agreements or understandings.
